General terms of sale and service

Version of 25 October 2026

1. Provider and scope

These general terms apply to contracts concluded with Forma52 Maille, sole proprietorship of Damien Maille operating under the trade name FORMA52, Rue Paul-Charmillot 64, 2610 Saint-Imier, Switzerland, [email protected].

They cover courses, outdoor courses, advice and audit services and, where provided for in the offer, the sale of equipment.

Specific provisions expressly agreed between the parties take precedence over these terms. Mandatory statutory provisions remain reserved.

2. Information and quote requests

The descriptions on the website present the services offered. Unless expressly stated otherwise, they do not constitute a binding offer.

Sending a contact form or a quote request is neither a registration, nor an order, nor a booking.

Quotes set out the service, its price and the specific conditions that apply. Their period of validity is stated in the document.

3. Conclusion of the contract

The contract is concluded when the client accepts a binding quote in writing or when FORMA52 accepts a registration or an order in writing.

An automatic acknowledgement of receipt does not constitute acceptance unless expressly stated otherwise.

These terms are communicated or made available to the client before the contract is concluded.

4. Content of the services

The programme, objectives, duration, location, group size and any prerequisites are set out in the offer or confirmation.

Courses cover only the content announced. On their own, they do not guarantee obtaining a qualification, passing an assessment or being authorised to perform a role.

Whether a certificate is issued, and under which conditions, is stated for each course.

First-aid courses do not replace a medical consultation or medical care.

5. Prices and costs

Prices are stated in Swiss francs (CHF).

FORMA52 is not registered for VAT.

Any additional costs, in particular for travel, rental, accommodation, meals or equipment, are stated before the contract is concluded.

No additional paid service is provided without the client’s agreement.

6. Payment

Payment is made according to the terms and due date shown on the quote, confirmation or invoice.

Where a deposit is required, its amount and due date are stated before the contract is concluded.

In the event of late payment, FORMA52 may send a reminder and exercise the rights provided by applicable law.

7. Organisation and participation

The client provides the information needed to organise the service, in particular the group size, the location and any constraints on site.

For work on its premises, the client provides the agreed rooms and equipment and reports any known specific risks.

Participants meet the stated prerequisites and follow the instructor’s directions and the safety rules. The clothing and equipment required are stated before the activity.

An exercise may be adapted or stopped when conditions do not allow it to continue appropriately.

8. Cancellation or postponement by the client

Any request for cancellation or postponement must be sent in writing to [email protected].

The applicable deadlines and any costs are communicated before the contract is concluded, in the specific conditions of the service. They set out in particular:

  • The conditions for a postponement.
  • Any costs depending on the date of cancellation.
  • The consequences of an absence.
  • The possibility of replacing a participant.
  • The treatment of costs already incurred and not recoverable.

No cancellation scale that was not communicated and accepted before the contract was concluded applies automatically.

9. Cancellation or change by FORMA52

FORMA52 informs the client as soon as an event jeopardises the service.

Where a minimum number of participants is required, this and the corresponding cancellation conditions are stated before registration.

If FORMA52 cancels, a new date or a replacement service may be offered. If no solution is accepted, the amounts for the service not provided are refunded.

Any other rights of the client remain reserved.

10. Outdoor activities

Outdoor courses and exercises may be adapted to weather conditions, the state of the terrain and instructions from the authorities.

The client is informed of any significant change to the programme. The consequences of a postponement or an interruption are determined by the contract and applicable law.

11. Advice and audits

The scope, method and any deliverables are defined in the offer.

Observations and recommendations relate to the elements examined and the information available at the time of the work.

Unless expressly undertaken and with the corresponding authorisation, the service is neither a certification, nor an official validation of compliance, nor a regulatory inspection.

12. Sale of equipment

The offer or confirmation sets out the products ordered, prices, payment terms, delivery costs and announced lead times.

Rights in the event of defects are governed by the applicable statutory provisions, subject to a valid contractual arrangement expressly agreed.

Any voluntary return options are stated before the order. The client’s mandatory rights remain reserved.

13. Liability

The liability of the parties is governed by applicable law.

No provision of these terms is to be interpreted as excluding a liability that cannot validly be limited or excluded.

The respective obligations of FORMA52 and the client regarding organisation and safety remain applicable.

14. Course materials

Materials handed out are intended for the participants’ use within the course.

Unless authorised or permitted by law, their reproduction, distribution to third parties or commercial use is not allowed.

15. Personal data and photographs

The processing of personal data is described on the Privacy policy page.

Registering for or taking part in a service does not authorise the use of participants’ images for promotional purposes.

Such use requires separate consent where necessary.

16. Applicable law and disputes

Contracts are governed by Swiss law, subject to applicable mandatory provisions.

In the event of a dispute, the parties first seek an amicable solution.

The jurisdiction of the courts is determined by the applicable statutory rules, in particular those protecting consumers.

17. Applicable version

The version of the general terms communicated and accepted when the contract is concluded applies to that contract.
